The AP+ Board is supported by the Risk Committee, Audit Committee, the Talent & Reward Committee and the Independent Commercial & Compliance Committee.

Risk-Committee

Risk Committee

The Risk Committee assists the Board with overseeing:

  • the governance of risks across the organisation including the design, implementation and operation of the organisation’s management framework and risk management policies and procedures
  • the adequacy and effectiveness of the internal controls and risk management environment within the set risk appetite parameters.
  • the operations and reporting of the internal audit function
  • the processes for monitoring the effectiveness of AP+’s risk compliance with relevant laws and regulations.

Audit Committee

The Audit Committee assists the Board with overseeing:

  • the effective and timely reporting and management of AP+’s financial information
  • the adequacy and effectiveness of the internal financial controls
  • the appropriate application and amendment of any new or proposed changes in accounting and tax policies
  • the oversight of the external auditor.
Talent-Rewards

Talent & Reward Committee​

The Talent & Reward Committee assists the Board with overseeing:

  • the nomination, governance and performance of the AP+ Board and Committees, the company as a whole, and that of its Executive Leadership Team
  • the promotion of a productive, ethical and safe work culture, which respects equal opportunity, diversity and inclusion and health, safety and wellbeing
  • the people and the remuneration related frameworks, policies, and practices
ICCC

Independent Commercial & Compliance Committee (ICCC)

Oversees such matters which include, but may not be limited to:

  • the participation in and access to schemes, including membership, suspension and termination of such access, in accordance with applicable scheme rules of eftpos, NPP, BPAY, ConnectID and any other scheme rules which may operate, from time to time.
  • the compliance and enforcement regime of the scheme rules of eftpos, NPP, BPAY, ConnectID and any other scheme rules which may operate from time to time.
  • any pricing determinations across AP+’s various products and services to its scheme members or participants, together with their financial impacts for AP+.
  • any other matters involving a participant, a member, or a third party which may be or perceived to be commercially sensitive in nature.
